This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram. Instagram is not affiliated with the Sponsor in any way.

1. Overview/Sweepstakes Period:

The UScellular® "Galaxy S23" Sweepstakes (the "Sweepstakes"), sponsored by UScellular (the "Sponsor"), begins on February 21, 2023 at 12:00:01 a.m. Central Time ("CT") and ends on March 21, 2023 at 11:59:59 p.m. CT (the "Sweepstakes Period").

The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to abide by and be bound by these Official Rules and Sponsor's decisions, which shall be final and binding in all matters related to the Sweepstakes. The Sweepstakes is void outside the states listed in Rule 2, below and where prohibited by law.

2. Eligibility:

The Sweepstakes is open only to legal residents of CA, IL, IA, KS, MD, ME, MO, NE, NH, NC, OK, OR, PA, SD, TN, TX, VT, VA, WA, WI, and WV who: (a) are at least 18 years of age at time of entry (19 years of age if a resident of NE); and (b) are registered users of Instagram with a personal, publicly viewable account. If you do not have an Instagram account, you may open one free of charge at www.Instagram.com. Your account may not be a shared or corporate account. Please note: You must keep the Instagram handle you used to enter through the date on which the prizes are awarded.

Employees, officers and directors of UScellular, its subsidiaries, affiliates, authorized agents, sales representatives, distributors, advertising and promotional agencies, anyone involved with the design, execution or fulfillment of the Sweepstakes, and members of the immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate in this Sweepstakes. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification.

3. How to Enter:

During the Sweepstakes Period, the Sponsor will post an in-feed Reels video on its Instagram account @UScellular. Access the post and follow all instructions to leave an appropriate comment on the Sweepstakes post (your ”Comment” or “entry”), and you will receive one (1) entry into the prize drawing described in Rule 5, below. Your Comment must conform to all character limitations imposed by Instagram and comply with the Comment Requirements and Restrictions described in Rule 4, below.

Bonus Entry. One (1) additional entry can be earned by @mentioning three (3) adult friends in the comments section of the Instagram post. You must have a personal relationship with and permission from the @mentioned friends to use their names in connection with this Sweepstakes. Proof of permission may be required in any form deemed reasonable and necessary by Sponsor.

Limit two (2) entries (one (1) regular entry and one (1) Bonus Entry) per person for the entire Sweepstakes Period. Sponsor has the sole discretion to determine as to whether your comment qualifies as an entry. Sponsor is not obligated to acknowledge entries.

If you choose to enter using a mobile device, standard message and data rates apply in accordance with your personal mobile service plan. Sponsor has the sole discretion to determine as to whether your comment qualifies as an entry. Sponsor is not obligated to acknowledge entries. Check details of your plan prior to using a mobile device to enter. A mobile device is not required to enter the Sweepstakes.

Comments will not be judged. Winners will be selected in a random drawing as described in Rule 5, below.

Any attempt by any individual to exceed the above-indicated entry limit by using multiple/different e-mail or IP addresses, Instagram accounts, identities, or repetitive, automatic, programmed, or similar entry methods will void that individual's entry(ies) and that individual will be disqualified. In the event of dispute as to the identity or eligibility of a potential winner, the winning entry will be declared made by the "Authorized Account Holder" of the Instagram account used to enter the Sweepstakes provided he/she is eligible according to these Official Rules. The “authorized account holder” is the natural person in whose name the Instagram account was created. A potential winner may be required to show proof of being the authorized account holder. Sponsor’s clock is the official timekeeper of the Sweepstakes.

4. Comment Requirements and Restrictions:

Each Comment must conform to the following Requirements/Restrictions:

Comment cannot: (a) be sexually explicit or suggestive, violent or be derogatory of any ethnic, racial, gender, religious, professional or age group; (b) promote alcohol, marijuana, illegal drugs, tobacco, or any activities that may be unsafe or dangerous or further any particular political agenda or message; (c) be offensive (in the opinion of the Sponsor), or endorse any form of hate or hate group; (d) defame, misrepresent or disparage Sponsor or its products/services, or other people, products, services or companies; (e) contain trademarks owned by others (except Sponsor’s trademarks to the limited extent allowed hereunder*), or advertise or promote any brand or product of any kind (except Sponsor’s brand*), , or contain any personal identification, (other than that of the entrant or your friend’s name as may be required for the Comment or allowable under these Official Rules), such as license plate numbers, personal names, email addresses or street addresses; (f) contain copyrighted materials owned by others without permission; (g) communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; (h) be unsuitable for family audiences and for public display and dissemination, in the sole opinion of Sponsor; and (i) include any indicia of any person, living or deceased, without permission from that person or his/her estate; (j) depict, and cannot themselves be in, violation of any law; or (k) be intended to annoy, abuse, threaten or harass any other person/participant.

The above list is not meant to be exhaustive. If a Comment is determined by Sponsor, in its sole discretion, to be in violation of any of the foregoing requirements, or unsuitable for inclusion in this Sweepstakes for any reason, the Comment and related entrant will be disqualified from the Sweepstakes. *LIMITED LICENSE: THE SPONSOR’S TRADEMARKS, BRANDS OR PRODUCTS MAY BE USED FOR PURPOSES OF THIS SWEEPSTAKES ONLY. NO OTHER RIGHTS IN OR TO SPONSOR’S TRADEMARKS ARE GRANTED UNDER THESE OFFICIAL RULES. You are not required to reference Sponsor’s trademarks, brands or product in your Comment.

COMMENTS SUBMITTED IN THIS SWEEPSTAKES WERE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT; THEY DO NOT REFLECT THE VIEWS OF SPONSOR.

Representations: By submitting a Comment, entrant hereby warrants and represents as follows: (a) Comment conforms to all Requirements and Restrictions set forth herein; (b) Comment is entrant’s original creation (modifying, enhancing or altering a third party’s preexisting work does not qualify as entrant’s original creation; (c) Comment was created solely by entrant; (d) Comment has not been previously published or won any awards; (e) Comment does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (f) publication of the Comment, or portions thereof, via various media, including Web posting, will not infringe on the rights of any third party. Each entrant hereby releases, indemnifies and holds Sponsor harmless from and against any claims contrary to the above warranties and representations.

All incomplete or non-compliant Comments, and the entrants who submitted them, will be disqualified.

5. Prize Drawing/Prizes/Odds:

A total of five (5) prize bundles will be awarded. On or about March 22, 2023, Sponsor will conduct a random drawing from among all eligible entries received (including Bonus entries) to select five (5) potential winners of the following prize bundle: Each verified winner will receive one (1) of five (5) available Samsung prize bundles that each includes the following: one (1) Samsung Galaxy S23 Ultra, one (1) Samsung Buds2 Pro, one (1) Samsung Galaxy Watch5 Pro, and one (1) Samsung Galaxy Tab S8+. The Approximate Retail Value (“ARV”) of each prize is as follows: Samsung Galaxy S23 Ultra ARV: $1,199.99; Samsung Buds2 Pro ARV: $229.99; Samsung Galaxy Watch5 Pro ARV: $499.99; and Samsung Galaxy Tab S8+ARV: $1,099.99. Total ARV of each prize bundle: $3,029.96. Total ARV of all prizes: $15,149.80. The awarding of each prize is subject to verification of each winner’s eligibility and compliance with these Official Rules. The odds of winning a prize depend on the number of eligible entries received, including Bonus entries.

The prizes consist only of the items described above. All other expenses related to the acceptance and use of the prize that are not specified above as being included in the prize will be the responsibility of each winner.

6. Winner Notification/Prize Claim:

Each winner will be notified by Instagram Direct Message within approximately two (2) days following the date of the drawing and may be required, at the discretion of Sponsor, to sign and return an Affidavit of Eligibility and Liability/Publicity Release within a specified time period as a condition of receiving his/her prize.

Failure to comply will result in disqualification and forfeiture of the prize. If disqualified, the winner’s prize will be awarded to an alternate winner in a random drawing from among the remaining eligible entries. If necessary, this process will be repeated up to three (3) times. If the prize is not claimed after the third attempt to award it, the prize will not be awarded.

Prizes cannot be transferred, assigned, substituted, sold, offered at auction or redeemed for cash except at Sponsor’s sole discretion or as described herein. Sponsor reserves the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable. All federal, state and local income taxes on the prizes are the responsibility of each winner. Winners will receive a 1099 form as required by law.

The prizes will be shipped to the address within the 50 U.S./D.C. (no P.O. Boxes permitted) that each winner provided to Sponsor via Instagram Direct Message within approximately 4-6 weeks following the confirmation of winner’s eligibility and compliance with these Official Rules.

All prizes are awarded “as is” without representation, warranty or guarantee, of any kind, express or implied, in fact or in law, on the part of the Sponsor. Winners agree to look to the manufacturer of the prize and not the Sponsor for any warranty on the prize or for any damages arising out of acceptance or use of the prize.

7. Release:

Acceptance of a prize constitutes winner’s consent to Sponsor’s use of his/her name, limited biographical information, city and state, voice, statements and/or filmed, taped or otherwise recorded likeness in commerce and in all media worldwide, including but not limited to social media, for advertising/publicity/trade purposes without additional compensation, notice or approval, except where prohibited by law.

By submitting an entry, you warrant and represent that you have complied with all of these Official Rules, and agree to indemnify, release, defend and hold harmless the Sponsor, Instagram, and each of their respective parent companies, subsidiaries, affiliates, advertising/promotion agencies, authorized agents, sales representatives, distributors, and the respective directors, officers, shareholders, members, employees, successors, assigns, licensees, and agents of each of the foregoing (collectively the “Released Parties”) from and against any and all claims and liability for damages or causes of action (however named or described), including but not limited to personal injury, death, loss or damage of any kind arising from or in connection with participation in the Sweepstakes, the acceptance, possession, use and or misuse of a prize, (if awarded to him/her), Sponsor’s use of your entry, and/or claims based on right of publicity/right of privacy or defamation.

8. Rights Granted to Sponsor:

By submitting a Comment, each entrant hereby grants to the Sponsor a non-exclusive, irrevocable, fully paid, assignable, universal license to use, copy, sublicense, transmit, distribute, publicly or privately perform, publish, edit, delete, make derivative works from or display such Comment, or any portion thereof, in any media now known or hereafter devised, worldwide, including but not limited to the internet, without compensation or limitation and without any further notice or right of approval. Each entrant agrees that the results and proceeds of such use shall become the property of Sponsor and shall be freely assignable by Sponsor, and any such assignees shall have no obligations of any kind to entrant. Sponsor is not obligated to use any of the above-mentioned rights. Each entrant further acknowledges that Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than the entrant’s Comment.

Each entrant expressly waives all rights to review or approve any use that Sponsor makes of his/her Comment in accordance with these Official Rules. By submitting a Comment, each entrant further agrees to waive all rights of attribution if his/her Comment is used by Sponsor or anyone Sponsor authorizes, and to waive any moral rights in the Comment.

By submitting a Comment, each entrant further agrees that his/her Comment is gratuitous, unsolicited and without restriction, and will not place Sponsor under any obligations other than those contained in these Official Rules, and that Sponsor is free to disclose the ideas contained in the Comment on a non-confidential basis to anyone. Each entrant further acknowledges that he/she will not instigate, support, maintain, or authorize any action or lawsuit against Sponsor on the basis that any use of his/her Comment infringes any of his/her rights as creator of such Comment.

By submitting a Comment, each entrant understands and acknowledges that he/she will not now or in the future be paid or compensated in any way for the Comment or for granting the Sponsor any of the rights set forth in these Official Rules.

Sponsor may, at any time, require any entrant to execute documents to confirm the grant of rights hereunder; failure to do so may result in disqualification.

9. Miscellaneous:

The Released Parties are not responsible for: (a) electronic transmissions or Comments/entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by Sponsor for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries (including but not limited to any such occurrences on the Instagram platform), or for deletion, theft or destruction of, unauthorized access to, or alteration of, entries; (c) failed or unavailable hardware, network, or software or the Instagram platform; (d) causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; (e) any entries submitted in a manner that is not expressly allowed under these Official Rules (all such entries will be disqualified); (f) incorrect or inaccurate entry information whether caused by entrants, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (g) any typographical or other error in any printing or advertising relating to the Sweepstakes, in the administration or execution of the Sweepstakes, or in the announcement of the prize winners; or (h) cheating or fraud by any participant.

If, for any reason, the Sweepstakes cannot be executed as planned, including but not limited to any printing, administrative, human or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, pandemic, social media mandate or platform failure/error, any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Sweepstakes, or if the Sweepstakes is compromised or becomes corrupted in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and, if terminated before the intended end date of the Sweepstakes Period, to select the potential winners in a random drawing from among all eligible, non-suspect entries received prior to the date/time of termination.

Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules or any laws, or to be attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, misappropriation, infringement, or any other unfair playing practices or poor sportsmanship, or to be acting with the intention of annoying, abusing, threatening, or harassing any other participants or Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that term. Sponsor reserves the right, at their sole discretion, to amend these Official Rules for clarification purposes, at ay time, in any way, and without prior notice, provided such amendments do not materially affect the terms and conditions of the Sweepstakes.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES OR OTHER REMEDIES FROM ANY PERSON RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Privacy:

Any personally identifiable information collected in connection with an entrant’s participation in this Sweepstakes will be used by Sponsor, its affiliates, and agents only for purposes of the proper administration and fulfillment of the Sweepstakes, as described in these Official Rules, and in any manner consistent with Sponsor’s Privacy Policy, available at https://www.uscellular.com/privacy.

11. Disputes/Venue/Governing Law:

By participating, entrants agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with, this Sweepstakes or the prizes, shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal, state or local court located in Cook County, Illinois; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with entering this Sweepstakes , but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrants hereby waive all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules (whether of Illinois or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than Illinois.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or made by Sponsor’s representatives, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

12. Severability:

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

To obtain a list of winners available after all winners have been verified, please email a request to Social Team at socialteam@uscellular.com by April 30, 2023.

14. Sponsor:

The Sweepstakes is sponsored solely by UScellular, 8410 W. Bryn Mawr, Suite 700, Chicago, Illinois 60631.

Any questions, comments or complaints regarding this Sweepstakes must be directed to the Sponsor only, and NOT to Instagram.
