The UScellular^® 2023 MILWAUKEE BREWERS SOCIAL SWEEPSTAKES

1. OVERVIEW/SWEEPSTAKES PERIOD

The UScellular^® 2023 Milwaukee Brewers Social Sweepstakes (“Sweepstakes”) sponsored by UScellular ("Sponsor") begins on April 25, 2023 at 12:00:01 a.m. Central Time (“CT”) and ends on October 1, 2023 at 11:59:59 p.m. CT (“Sweepstakes Period”). The Sweepstakes consists of various activities (each, an “Activity”) in which eligible persons may participate (see eligibility requirements in Rule 2, below) during the Sweepstakes Period, and by participating, earn entries into periodic prize drawings (each, a “Periodic Drawing”). Winners in the Periodic Drawings will receive tickets to a specified Milwaukee Brewers Regular Season home game.

The entry period for each Periodic Drawing will begin with Sponsor's posting of an Activity on its Instagram account and will end forty-eight (48) hours prior to the date of the Milwaukee Brewers game to which each such drawing corresponds. (Please see the chart in Rule 3, below, for the specific start and end dates of each Periodic Drawing's entry Period.)

The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to abide by and be bound by these Official Rules and Sponsor's decisions, which shall be final and binding in all matters related to the Sweepstakes.

2. ELIGIBILITY

The Sweepstakes is open only to legal residents of IA, IL, MN, and WI who: (a) are at least 18 years of age at time of entry; and (b) are registered users of Instagram with a personal, publicly viewable account. You may not use a corporate or shared account. If you do not have an Instagram account, you may register for a free account at Instagram.com . When you join Instagram, you are indicating that you have read and agree to accept all of its terms, conditions, and policies. You must keep the same Instagram handle during the Sweepstakes Period and until the prizes are awarded so Sponsor may communicate with you if you are selected as a potential winner.

Employees, officers and directors of Sponsor, the Milwaukee Brewers Baseball Club, Limited Partnership, the other MLB Entities (as defined below), their respective subsidiaries, affiliates, authorized agents, sales representatives, distributors, advertising and promotional agencies, and members of the immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate in this Sweepstakes.

The "MLB Entities" shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, the Major League Baseball Clubs (“Clubs”), MLB Advanced Media, L.P. (“MLB”), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities.

Non-eligibility or non-compliance with any of these Official Rules will result in disqualification.

3. HOW TO ENTER

The entry periods for the Periodic Drawings (each, a “Periodic Drawing Entry Period”) are noted in the chart below. Each Periodic Drawing's entry period starts with Sponsor's announcement on Instagram on each of the start dates noted below, of the required entry Activity, and ends at 11:59:59 p.m. CT on each of the end dates noted below.

On the start date of each Periodic Drawing Entry Period, Sponsor will post an announcement of an Activity on its Instagram account, as noted herein. Activities may include, but may not be limited to, the following: Milwaukee Brewers Trivia games; Milwaukee Brewers players guessing games; Find-the-Object games; and/or “Pinch and Zoom” games. Follow all prompts and Instructions accompanying each Activity announcement to participate in the Activity. You may begin to participate in each Activity immediately following Sponsor's posting. When you complete the Activity as instructed, you will receive one (1) entry into the Periodic Drawing corresponding to the date on which you participated. Your response in each Activity need not be correct or complete to earn an entry.

Limit one (1) entry per person/Instagram account during each Periodic Drawing's Entry Period. Entries received during each Periodic Drawing Entry Period will be included in subsequent Periodic Drawing Entry Periods' Drawings.

If you use a mobile device to participate, standard message and data rates may apply. Please consult the terms and conditions of your individual service plan prior to participating via a mobile device. A mobile device is not required to participate.

Any attempt by any participant to obtain more than one entry per Periodic Drawing Entry Period by using multiple/different Instagram accounts, email addresses, postal addresses, identities, registrations or logins, or any other methods will void that participant's entries and that participant may be disqualified from the Sweepstakes, at the discretion of the Sponsor. Any use of robotic, repetitive, automatic, programmed, or similar entry methods to participate will void all entries by that entrant, and that entrant may be disqualified from the Sweepstakes at the discretion of the Sponsor. In the event of a dispute as to the identity of any entrant or winner, the authorized account holder of the Instagram that was used to enter will be deemed the entrant/winner provided such person is in compliance with these Official Rules. The "authorized account holder" is the person assigned to the Instagram account by Instagram. A potential winner may be required to show proof of being the authorized account holder. Any incomplete or non-conforming Activity will not result in an entry.

You may not add any content other than an appropriate response to each Activity. Non-compliance may result in disqualification from the Sweepstakes at the discretion of the Sponsor.

4. SELECTION OF WINNERS

On the Drawing dates noted in the chart in Rule 3, Sponsor or its designees will select two (2) potential winners in a random drawing from among all eligible entries received during those Entry Periods and all previous Entry Periods combined. The odds of winning a prize in a Periodic Drawing depend on the number of eligible entries received during the applicable Entry Period and all previous Entry Periods combined.

5. PRIZES/APPROXIMATE RETAIL VALUES (“ARV”)

Periodic Drawing Prizes. Two (2) prizes will be awarded for each Periodic Drawing Entry Period. Each prize will consist of two (2) tickets to a 2023 regular season Milwaukee Brewers home game (for winner and one (1) guest) on one of the dates that corresponds to each Periodic Drawing Entry Period, as noted in the chart in Rule 3, above. The Sponsor, alone, will determine the specific game date for each winner's prize. ARV: $200 per prize.

Use of any Major League Baseball game/event/exhibition ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket; see brewres.com/ticketback for details. Seat locations at the game/event/exhibition and, unless otherwise stated in the applicable prize description, exact game/event/exhibition date shall be determined in the sole discretion of Sponsor. Each winner's guest must be of legal age of majority in his/her(their) jurisdiction of residence unless the guest is the child or legal ward of the winner. Guests may be required to sign and return a Liability/Publicity Release as a condition of accompanying winner at game. If a guest is a permissible minor in accordance with these Official Rules, the winner must sign the document on the minor's behalf. Major League Baseball game/event/exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club and may be subject to change. The terms and conditions of the tickets awarded as part of any prize will govern in the event a legal game/event/exhibition, as defined by Major League Baseball, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Each winner and his/her guest(s) agree to comply with all applicable ballpark and venue regulations in connection with the prize; see brewers.com/ballpark for details. Sponsor and the other MLB Entities reserve the right to remove or to deny entry to any winner and/or his/her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game/event/exhibition. Released Parties (as defined below) will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any Major League Baseball game/event/exhibition. Major League Baseball game/event/exhibition tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture, and may invalidate the license granted by the game/event/exhibition ticket.

If a winner is unable to use the tickets for any reason, and so informs the Sponsor prior to distribution of the tickets to the winner, then s/he will receive Milwaukee Brewers merchandise of Sponsor's choice in lieu of the tickets. ARV of such merchandise will range from $140 to $200. If Sponsor is informed of the inability to use the tickets after they have been sent to the winner, winner will receive no compensation in lieu of the tickets.

The prizes consist only of the items described above. All other expenses related to the use of the prizes are the winners' responsibility, including but not limited to transportation, parking, meals, beverages, souvenirs and lodging. Prizes are non-transferable; no cash redemption or other substitution allowed, in whole or in part, except as provided herein. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason, as determined by Sponsor in its sole discretion. The winners are responsible for all federal, state and/or local income taxes on their prizes. All prizes will be awarded provided they are claimed properly in accordance with these Official Rules.

Limit one (1) Periodic Drawing prize per person/Instagram account per month during the Sweepstakes Period.

Total ARV of all prizes in this Sweepstakes: $3,600.

6. REQUIREMENTS OF POTENTIAL WINNERS

Potential winners will be notified by direct message (“DM”) on Instagram.

The potential prize winners must meet all eligibility requirements set forth in these Official Rules and comply with these Official Rules to qualify for a prize. Each prize winner may be required, at the discretion of the Sponsor, to complete, sign and return an Affidavit of Eligibility, Liability Release and Publicity Release (except where prohibited) within seven (7) days of receipt of prize notification as a condition of being awarded a prize. If a potential winner cannot be reached after reasonable efforts have been made (as determined by Sponsor in its discretion), if a prize notification is returned as undeliverable, if a potential winner is determined by Sponsor to be ineligible, or if a potential winner does not comply with these Official Rules, s/he will be disqualified and will forfeit the prize.

In the event that a potential winner is disqualified for any reason, Sponsor or its designees will select an alternate potential winner in a random drawing from among all remaining eligible entries for the applicable Entry Period and all previous Entry Periods. If necessary, this process will be repeated up to three (3) times (time permitting). If the prize is not claimed by the third attempt to award it, the prize will not be awarded.

7. PUBLICITY CONSENT

By accepting a prize, each winner grants to Sponsor, Milwaukee Brewers, MLB and each of their respective designees the right to publicize the winner's name, address (city and state of residence), photograph, voice, recorded image, statements and/or other likeness and prize information for advertising, promotional, trade and/or any other purpose in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification.

8. LIMITATION OF LIABILITY/GENERAL CONDTIONS

By entering, each entrant agrees to indemnify, release, defend and hold harmless the Sponsor, the Milwaukee Brewers Baseball Club, Limited Partnership, the other MLB Entities (as defined in Rule 2, above), Meta Platforms, Instagram, and their respective parent companies subsidiaries, affiliates, media partners, printers, and advertising and promotion agencies, and the officers, employees, directors and agents of each of the foregoing, (collectively, the “Released Parties”) from and against any and all rights, claims and causes of action whatsoever that may arise against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and/or property, arising in whole or in part, directly or indirectly, from: (a) entrant's participation in the Sweepstakes; or (b) the receipt, possession and/or use or misuse of a prize (if awarded to him/her), including but not limited to attendance at any game.

SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

The Released Parties are not responsible for: (a) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by Sponsor for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures, or human error that may occur in the transmission, receipt or processing of entries, or for deletion, theft, alteration or destruction of, or unauthorized access to, entries; (c) failed or unavailable hardware, software or network, or the inability to access a social media platform; (d) causes beyond Sponsor's reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; (e) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Sweepstakes; (f) any typographical or other error in any printing or advertising relating to the Sweepstakes, in the administration or execution of the Sweepstakes, or in the announcement of the prize winners; or (g) cheating or fraud by any participant.

If for any reason the Sweepstakes cannot be executed as planned, including but not limited to any printing, administrative, human or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, Instagram failure or mandate, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Sweepstakes, or if the Sweepstakes is compromised or becomes corrupted in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes without notice. If the Sweepstakes is terminated prior to the stated end date of the Sweepstakes Period, then the winner for the Periodic Drawing Entry Period then in progress will be selected in a random drawing from among all eligible, non-suspect entries received for that Entry Period prior to the time/date of termination. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the entry process or the operation of the Sweepstakes, or who acts in violation of these Official Rules or in a disruptive manner. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that term.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES OR OTHER REMEDIES FROM ANY PERSON RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

By accepting a prize, each winner acknowledges that the Released Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

Sponsor reserves the right, at its sole discretion, to amend these Official Rules for clarification purposes, at any time, in any way, and without prior notice, provided such amendments do not materially affect the terms and conditions of the Sweepstakes.

9. PARTICIPANT PRIVACY

Any personally identifiable information collected in connection with an entrant's participation in this Sweepstakes will be used by Sponsor only for purposes of the proper administration and fulfillment of the Sweepstakes, as described in these Official Rules, and in any manner consistent with Sponsor's Privacy Policy, available at http://www.uscellular.com/site/privacy/index.html.

10. DISPUTES/VENUE/GOVERNING LAW

By participating, entrants agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with, this Sweepstakes or the prizes shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal, state or local court located in Cook County, Illinois; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with entering this Sweepstakes, but in no event attorneys' fees.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants' rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules (whether of Illinois or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than Illinois.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or notifications, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

11. SEVERABILITY

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
